Current Issues in Securities Law

The EU Financial Services Action Plan consists of a set of measures intended to complete the Single Market in financial services across the EU.  The prospectus Directive, the Transparency Directive, the Market Abuse Directive and the Markets in Financial Instruments Directive (MIFID) are central to this programme and seek to enhance transparency in EU Capital Markets in order to improve investor protection and market efficiency.

At this seminar, Professor Alastair Hudson, a distinguished expert on Capital Markets Law and author of the acclaimed authoritative text “Securities Law” (2008; Sweet & Maxwell) will guide delegates through the key features of the EU Directives and the implementing legislation in Ireland and the UK.  In addition, Professor Hudson will explore developing issues in this area including:

  1. civil liability for prospectuses
  2. effect of prospectus rules on liability for negligent misstatement
  3. how private law cases are beginning to uses conduct of business regulations as objective standards for private law liability
  4. is “best execution” in MIFID a fiduciary standard

 

This seminar, conducted by an excellent communicator, will be invaluable to anyone for whom knowledge of capital markets law is a professional necessity.

Professor Hudson is a Contributing Editor to the leading practitioner texts, Palmer’s Company Law and Charlesworth’s Company Law to which he has contributed the chapters on securities law.

Professor Alastair Hudson

Professor Alastair Hudson is a barrister and Professor of Equity and Law at Queen Mary College, University of London, having previously worked as legal counsel and financial analyst at Goldman Sachs and Citibank NA where he specialised in the areas of financial derivatives and global finance.  Professor Hudson is an acknowledged expert on financial services law and lectures frequently in both the UK and abroad to banks and financial institutions.
He is the author of a number of books in the area of both securities law and international finance including:

Securities Law (2008; Sweet & Maxwell)
The Law on Financial Derivatives (2006; Sweet & Maxwell)
The Law on Investment Entities (2000; Sweet & Maxwell)
Swaps, Restitution & Trusts (1999; Sweet & Maxwell)

Professor Hudson’s innovative text The Law of Finance, which seeks to provide a synthesis of legal principles applicable to financial transactions, will be published in early 2009.

In 2008, Professor Hudson was the recipient of the accolade UK Law Teacher of the Year administered by the UK Centre for Legal Education, University of Warwick.
